Welcome to Haochi!Collective (the "Platform"). HAO CHI COLLECTIVE INC. ("we," "us," or "Haochi!Collective") provides services connecting Chinese street food vendors with event opportunities and incubation support. These Terms of Service ("Terms") govern your access to and use of our website www.haochicollective.com (the "Website") and all related services. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use the Platform.

Haochi!Collective provides the following services to Chinese food vendors in the US:

• Vendor incubation: providing brand development, product sourcing, and marketing support for aspiring Chinese food entrepreneurs
• Event access: connecting vendors with food festivals, markets, themed events, and music festivals across North America
• Supply chain support: integrating US-based ingredient and packaging supply chain resources
• Brand growth enablement: providing social media marketing, data analytics, and brand growth tools

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

2. 资格与注册

To register as a vendor partner, you must meet the following requirements:

• 持有有效的商业一般责任保险（Commercial General Liability Insurance）

• Be at least 18 years of age
• Possess a valid US identity document
• Hold a valid US Federal Employer Identification Number (EIN) or Social Security Number (SSN)
• Hold a valid New York State (or the relevant state) food service permit/license
• Maintain valid Commercial General Liability Insurance
• Have no record of major food safety violations or related legal disputes

您同意提供真实、准确、完整的注册信息，并在信息变更时及时更新。您对账户下发生的所有活动负全部责任，包括但不限于第三方未经授权使用您的账户。

You agree to provide true, accurate, and complete registration information and to promptly update it when changes occur. You are fully responsible for all activities conducted under your account, including but not limited to unauthorized use by third parties.

3. 合作摊主责任

3. Vendor Responsibilities

注册成为合作摊主后，您同意：

By registering as a vendor partner, you agree to:

• 合规经营：遵守活动所在州、县、市的食品安全法规、卫生标准和营业执照要求，在活动前取得所有必要的政府许可和执照，并在活动期间随身携带有效证件
• 食品安全：严格遵守所有适用的食品安全法规，执行食品过敏原标识，提供食品成分信息，配合监管机构的检查
• 保险覆盖：在整个合作期间保持有效的商业一般责任保险，并将 Haochi!Collective 列为附加被保险人（additional insured）
• 准时出席：按照约定时间准时出席活动，不得无故缺席或提前撤场
• 产品与定价：所提供的产品须与申请材料一致，价格须合理且符合活动现场定价规范
• 安全责任：对摊位内的设备安全、燃气使用（如适用）和人员安全负全责

• Regulatory compliance: comply with all applicable food safety regulations, hygiene standards, and business license requirements of the state, county, and city where the event is held; obtain all necessary government permits and licenses before events; carry valid documents on-site
• Food safety: strictly comply with all applicable food safety regulations, implement allergen labeling, provide ingredient information, and cooperate with regulatory inspections
• Insurance coverage: maintain valid Commercial General Liability Insurance throughout the partnership period and name Haochi!Collective as an additional insured
• Punctuality: arrive on time for all scheduled events and not leave early or fail to attend without valid reason
• Products and pricing: products offered must match application materials; pricing must be reasonable and comply with event pricing guidelines
• Safety responsibility: bear full responsibility for equipment safety, gas usage (if applicable), and personnel safety at the booth

4. 费用与付款

4. Fees and Payments

合作摊主费用的具体安排将在独立签订的合作协议中另行约定。一般而言：

Specific fee arrangements for vendor partners will be set forth in a separate partnership agreement. In general:

• 平台服务费：部分活动可能收取平台对接服务费，具体金额和支付方式将在活动确认时告知
• 活动摊位费：各活动的摊位费由活动策展方设定，由 Haochi!Collective 代收代付或由摊主直接支付给策展方
• 付款条款：活动收入按约定的分成比例在活动结束后结算，通常在7-14个工作日内完成
• 税务责任：您负责申报和缴纳与您的经营活动相关的所有联邦、州和地方税费

• Platform fee: a platform service fee may apply for certain events; specific amounts and payment methods will be communicated upon event confirmation
• Booth fees: booth fees for each event are set by the event organizer and are either collected by Haochi!Collective on behalf of the organizer or paid directly to the organizer by the vendor
• Payment terms: event revenue is settled according to the agreed revenue-sharing ratio after the event, typically within 7-14 business days
• Tax responsibility: you are responsible for reporting and paying all federal, state, and local taxes related to your business activities

5. 知识产权

5. Intellectual Property

Haochi!Collective 名称、标识、设计及所有相关内容和材料均为我们的财产或经授权使用，受美国和国际知识产权法保护。未经我们书面许可，您不得复制、修改、分发或使用我们的任何知识产权。

The Haochi!Collective name, logo, design, and all related content and materials are our property or licensed to us, protected under US and international intellectual property laws. You may not copy, modify, distribute, or use any of our intellectual property without our prior written consent.

您保留您自行创作的产品、品牌和内容的所有权，但授予我们在推广材料、活动页面和平台上使用您的品牌名称、产品图片和摊位照片的权利。

You retain ownership of your independently created products, brands, and content, but grant us the right to use your brand name, product photos, and booth images in promotional materials, event listings, and on the Platform.

您通过网站表单、活动申请或电子邮件向我们提交的所有内容（包括但不限于文字、图片、食谱、品牌故事和视频，以下简称"用户内容"）须符合以下要求：

All content you submit to us through website forms, event applications, or email (including but not limited to text, images, recipes, brand stories, and videos, "User Content") must comply with the following requirements:

• 真实、准确，不含虚假或误导性信息
• 不侵犯任何第三方的知识产权、隐私权或肖像权
• 不含淫秽、暴力、歧视性、骚扰性或非法内容
• 符合适用法律和广告宣传规范

• Be truthful, accurate, and free of false or misleading information
• Not infringe on any third party's intellectual property, privacy rights, or right of publicity
• Contain no obscene, violent, discriminatory, harassing, or illegal content
• Comply with applicable laws and advertising standards

You bear full responsibility for the legality of your User Content. We have the right (but not the obligation) to review, reject, or remove any User Content that does not comply with these Terms.

• Violate any applicable law, regulation, or third-party rights
• Provide false, fraudulent, or misleading registration information or application materials
• Access or interfere with the Platform or other users' accounts without authorization
• Use automated means (bots, crawlers, etc.) to unauthorizedly scrape platform data
• Upload or distribute any malware, viruses, or harmful code
• Impersonate Haochi!Collective or its employees for fraudulent activities
• Engage in any conduct that could damage Haochi!Collective's brand reputation
• Violate event site rules, organizer policies, or any applicable law

• Outcomes or revenue generated from events or partnerships arranged through the Platform
• Accuracy, completeness, or reliability of User Content or third-party content on the Platform
• Non-infringement of third-party rights by products, services, or information on the Platform

9. Limitation of Liability

To the maximum extent permitted by applicable law, Haochi!Collective, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including but not limited to loss of profits, loss of data, or business interruption damages), whether or not we have been advised of the possibility of such damages:

In no event shall our total liability to you exceed the total fees you actually paid to us in the past 12 months (if any).

You agree to indemnify, defend, and hold harmless Haochi!Collective and our officers, directors, employees, and agents from any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: your breach of these Terms, your misuse of the Platform, your business activities, your User Content, or your infringement of any third-party rights.

You may terminate your account at any time by contacting us. We may terminate or suspend your account if: you breach these Terms, provide false information, engage in fraudulent activities, infringe third-party rights, or for any other reason at our sole discretion to the extent permitted by applicable law. We shall not be liable to you or any third party for any liability arising from termination of services.

12. 适用法律与争议解决

12. Governing Law and Dispute Resolution

本条款受美国联邦法律及纽约州法律管辖并按其解释，不适用任何法律冲突原则。因本条款或使用平台引起的或相关的任何争议，应提交至纽约州纽约县的州法院或联邦地区法院专属管辖并最终解决。您特此同意接受上述法院的属人管辖权。

These Terms shall be governed by and construed in accordance with the laws of the State of New York and the United States, without regard to conflict of law principles. Any dispute arising from or related to these Terms or your use of the Platform shall be exclusively subject to the jurisdiction of the state or federal courts located in New York County, New York, which shall be the sole and final venue for resolution. You hereby consent to personal jurisdiction in such courts.
